Scheme of Arrangement: - Upon the transfer and vesting
of the Retail Undertaking of Rei Agro Ltd. in REI Six Ten Retail Ltd., REI
Six Ten Retail Ltd. shall issue and allot 9 (NINE) equity shares of
face value of Rs.10/- each fully paid, for every 20 (TWENTY) equity shares
of Rs.10/- each held in Rei Agro Ltd. 2. Reduction of Share Capital: - The issued, subscribed and
paid up equity share capital of Rei Agro Ltd. shall be reduced by canceling a
sum of Rs.4/- from each paid-up Equity share of Rs.10/- each and thereafter
consolidating 5 (FIVE) Equity Shares of Rs.6/- each of the
company into 3 (THREE) Equity Shares of Rs.10/- each fully
paid-up in the company. 3. Payment of Final Dividend @15%. |
